Heading the Legal && Compliance cell of a diversified Business Group, having varied business interests in Hotels, Shipping, Real Estate, Plantation, Logistics, Education and Retail • Seasoned professional, having wide experience in independently handling Legal / Compliance functions of a business conglomerate. Roles and Responsibilities Legal • Responsible for all litigation matters including criminal, civil, eviction cases, money suits, recovery cases, NCLT matters, labour matters, injunction matters, title suits, labour and arbitration matters. • Drafting and review of petitions, plaints, written statements, affidavits, complaints, writ applications, SLPs to be filed in various courts/tribunals. • Aware of the Court Process and has a good network in Government && Police departments. Liaisoning with statutory bodies and police departments. • Liasioning with solicitors and counsels and has a good network with them. • Provide strategy to the management to resolve court cases and prepare monthly reports for managements review. • Ability to analyze legal implications on various issues and advising various internal stakeholders and management on it. Provide legal advice to business units / functional departments. • Drafting and vetting of various agreements, contracts and other legal documents such as real estate agreements, financing documents, legal notices etc. in order to support various business units /functional departments • Provide advice to the management regarding strategic deals and negotiate, review and draft documentation for such deals • Knowledge in legal aspects relating to various Labour Laws, Real estate laws, Plantation laws, etc. Skill set requirement - Compliance • Managing Secretarial Compliance activities for the Group • Managing secretarial activities such as holding Board and Committee Meetings, preparing agenda and minutes, liasioning with shareholders, directors, and regulators. • Ensuring that the Company is on track with the responsibilities under Company Law • Compliance on filing of returns within timelines and ensure registers and other records are maintained.
